Constitution
I. Name
The name of this organization shall be the Asia Computational Intelligence Society (ACIS).
II. Purpose
ACIS aims to disseminating knowledge, sharing novel ideas, inspiring experts to seek innovative solutions for a wide range of challenges, and promoting the development and application of all facets of computational intelligence.
III. Bylaws and operations manual
Society Bylaws shall be established for the purposes of governing the operation and the administration of the Society, by detailing the general principles defined in this Constitution.
A Society Operations Manual shall be established for the purposes of providing the detailed procedures according to which the Society operates, is administered, and realizes its activities, by implementing the principles defined in this Constitution and the guidelines described in the Society’s Bylaws.
IV. Members
1. Classes
The Society consists of three classes of members: fellows, senior members, members.
2. Eligibility
Membership is open to any individual, enterprise, and organizational entity who agrees with the mission statement of this society and is willing to contribute to this society.
3. Voting right
Each regular member is good standing from the date of recording shall be entitled to one vote on any vote of the membership.
4. Hold harmless clause
ACIS members are responsible for the consequences of their own actions, including the research they conduct or chose to share. ACIS does not take credit or responsibility for any research conducted or shared by its members. The views or opinions of the individual presenters/authors do not reflect those of ACIS.
4. Termination of membership
By an affirmative vote of two-thirds of all members of the Executive Board, a member may be suspended or expelled for cause after an appropriate hearing. Such a hearing may be held only after prior written notice of the suspension or expulsion of the member, stating the reasons therefor, and after providing a timely opportunity for a hearing on the matter as provided by-law.
5. Resignation
Any member may resign by submitting a written resignation. Resignation does not relieve any responsibility of any resigning member to the Society, nor does it diminish any right or the Society to fulfill those responsibilities.
6. Transfer of membership
Membership of the Society, or any rights arsing therefrom, cannot be transferred or transferred.
V. Governance and Administration
The Executive Board is established to govern and administer the Society. The Executive Board defines the strategies and policies to manage the Society and realize the societal purpose, monitors the Society’s activities, and evaluates the outcomes.
1. Organizational Structure
The Executive Board is composed of:
a. the President,
b. the Vice President for Asia and Pacific,
c. the Vice President for Europe,
d. the Vice President for America and Africa,
e. the General Secretary.
2. The Executive Board has the following authority
a. To implement the resolutions,
b. To prepare for the convening of the general meeting of the members,
c. Deciding on the admission and removal of members,
d. Formulating the internal management system,
e. Deciding on the establishment and selection of honorary posts,
f. Deciding other important matters.
The Executive Board shall be convened only when more than 2/3 of the committees are present, and its resolution shall be passed by more than 2/3 of the committees present in order to take effect.
3. Election and Term
The President shall be elected by the membership for a two-year term. The President, Vice President of the Society shall serve for a term of two year.
4. The President represents the Society and shall exercise the following powers
a. To convene and preside over meetings of the Executive Board, any other meetings attended by the President as may be provided by the Articles of Society,
b. To check the implementation of the resolutions of the Executive Board,
VI. The procedure for amending the constitution
Modification by Executive Board:
The Executive Board may adopt, amend or repeal bylaws unless the action would have a material and adverse effect on the voting rights of the members. The Executive Board may not extend the term of office of a member beyond the term of the member.
